This Subscription Agreement (“Agreement”) governs the relationship between you (“Subscriber”) and Levine’s Enterprises LLC, doing business as Paddle CRM (“Provider”), for access to and use of our platform and services. By subscribing, you agree to the terms below, which supplement and are incorporated into our Terms of Service.
1. Services Provided
Paddle CRM provides access to its Software as a Service (“SaaS”) platform, which includes CRM, marketing automation, communications, reporting tools, and related features described on our website.
2. Subscription Term
Subscriptions begin on the date of purchase and continue on a recurring basis (monthly or annually, depending on your selection). Subscriptions automatically renew unless canceled at least 30 days in advance through the billing portal. We do not accept cancellations by email, phone, or other channels.
3. Fees and Payment
All subscription fees are due in advance of the billing cycle. Fees are non-refundable, including setup fees, add-ons, and usage-based charges. Late payments may incur a 2.5% monthly compounding late fee. Continued use of the platform after failed payment attempts may result in suspension or termination.
4. Cancellation
Cancellation must be submitted via the billing section of your account at least 30 days prior to your next billing date. Failure to do so will result in continued billing. Removal of all Paddle CRM-related code and assets is required to complete cancellation. Use of any scripts, forms, widgets, or phone numbers after cancellation is considered express consent to continue your subscription, and charges will apply.
Wallet credits are non-refundable and forfeited upon cancellation. You will also be billed for any usage that continues, including unported phone numbers or residual system activity.
Either party may terminate this agreement upon written notice if the other party materially breaches any provision and fails to cure within 30 days of notice. Provider may suspend or terminate access immediately for non-payment or misuse of the platform.
6. Intellectual Property
All intellectual property rights in the platform, documentation, workflows, and integrations remain the sole property of Provider. No license is granted beyond limited, revocable use of the platform as agreed.
7. Confidentiality
Both parties agree to protect confidential or proprietary information shared during the relationship. This includes client data, trade secrets, account access credentials, and non-public technical documentation.
8. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Delaware. All disputes arising out of or related to this agreement shall be resolved through binding arbitration in Delaware, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs unless otherwise awarded by the arbitrator.
9. Entire Agreement
This Agreement, along with the Terms of Service, Refund Policy, and Cancellation Policy, constitutes the entire agreement and supersedes any prior agreements or understandings.
